Terms and Conditions for La Sien Distributors
- The Distributor will purchase La Sien products only from the Company and will devote its continuous best efforts to the promotion and sale of such La Sien Products in the Territory.
- The Distributor, at their sole cost and expense, shall organize and maintain a sales force and shall maintain adequate sales and warehouse facilities, within the territory that are satisfactory to the Company.
- The Distributor shall pay the full amount for products required to the Company before delivery. Where approval is given for deferred payments, the distributor must pay such invoices within the approved period.
- La Sien shall only bear cost of delivery and offloading of products to the front of the distributor’s outlet.
- The Distributor shall bear sole responsibility for all logistics involved in the physical movement of products into their warehouse or shop facility.
- The Distributor shall not use the trademark “La Sien”, or any other trademark owned by the company, except where such use was approved in advance by the company.
- The Distributor shall ensure proper usage, storage, handling and redistribution of La Sien Products at his/her own cost.
- The Distributor shall use La Sien products, only for the purpose of sales and other promotional activities expressly approved by the company.
- The Distributor shall maintain an ideal stock level of at least twenty-five percent (25%) of the mutually agreed quantity, in order to adequately serve the needs of its customers.
- All promotional activities shall be done with the express permission of the management of the company.
- The Distributor shall continually maintain to the satisfaction of the Company, a general reputation for honesty, integrity and good credit standing and shall maintain the highest quality standards.
- The Distributor shall not be engaged in any fraudulent activity with a staff or other representative of the Company.
- In the event that the Company provides sales support (personnel, logistics, marketing equipment, credit facility etc.), the Distributor shall ensure proper and reasonable usage of such support in line with the terms and conditions provided by the company.
- The Distributor shall comply with all laws and regulations, both state and federal, applicable to the Distributors business.
- The Distributor shall maintain adequate records of stock which shall be checked by company representatives from time to time.
- The Distributor is responsible for selling all products supplied by La Sien before their expiration date. In the event of inability to sell products 4 months (maximum) post production date, the Distributor should report to Company for assistance.
- The Distributor shall be required to order products at the frequency agreed with the company. Failure to adhere to this frequency without any communication or logical reason, shall cause the distributor to become a Sub distributor.
- Where a Distributor fails to meet the minimum purchase in two separate instances within a six-month period, they shall cease to be a main distributor and shall be placed as a sub distributor.
- The Distributor shall consistently maintain their category level.
A Distributor who purchases products below their category level for two months in a six-month period, shall be relegated to a lower category. If a Distributor purchases products above their category level for two months in a row, they shall be promoted to a higher category.
- The Distributor shall follow the company-approved pricing regimen. They shall not change the price of products without the express permission of the management of the Company.
- The Distributor shall not engage in any form of predatory pricing. They shall not offer La Sien products to customers at a lower price than is permitted, in order to stifle the sales of competitors.
